What is Companies House and what do they do?

The main functions of Companies House are the registration, or incorporation of new businesses and the dissolution of defunct ones. They also hold up to date and searchable information on all registered UK businesses including the last filed accounts, registered business addresses and contact details. This information is made available to the public.

If you are considering registering a business then you will need to contact a company solicitor to act as your formation agent. Companies House do not currently accept direct online registrations, although it is possible to register a business directly on paper forms if you pay a small fee.

The requirements for registering a business with Companies House varies depending on the type of business you are seeking to form. Your company solicitor can advise you on the most appropriate set up given your specific business needs, however generally speaking you will need to select a name, and give details of the company directors or partners, a registered business address and provide details of the company constitution. The company constitution consists of the memorandum and articles of association and can be given in standard form initially if preferred. Your company solicitor will again be able to advice on a suitable draft.

In all cases, registration confers legal responsibilities on the directors or partners to ensure that the business is run properly, that decisions are taken to promote the success of the business and that procedures such as the filing of annual accounts take place on time. You may wish to appoint your solicitor as company secretary to ensure that the latest legal requirements are known and adhered to.
